1. About These Terms

These terms set out the basis on which Mistral Quill ("we", "us", "our") provides project management advisory services to clients ("you", "your"). They apply when you engage us through our website at mistraly.pro or directly by email or phone.

By proceeding with an engagement, you confirm that you have read and understood these terms. If anything is unclear, please contact us at [email protected] before work begins.

These terms are governed by the laws of Malaysia. Any disputes will be subject to the exclusive jurisdiction of the courts of Malaysia.

2. Our Services

Mistral Quill provides B2B advisory services in the area of project management. Our current service offerings are:

• Project Setup Session (RM 580): A structured session covering scope, milestones, roles, and risk framing, resulting in a one-page project brief.
• Delivery Support Engagement (RM 2,600): A multi-week arrangement providing light governance, regular check-ins, a shared tracker, and weekly summaries.
• Project Practice Programme (RM 4,300): A wider engagement covering templates, planning workshops, and a concise practice guide tailored to your organisation.

The scope of each engagement is confirmed in writing before work begins. Any work outside the agreed scope will require a separate written agreement.

3. Engagement Process

Engagements proceed as follows:

1. You submit an enquiry via our website contact form or reach us by phone or email.
2. We arrange an initial conversation to understand your situation and confirm whether a service is a suitable fit.
3. We send a written summary of the proposed scope, timeline, and fee for your review.
4. Once you confirm acceptance in writing (email is sufficient), the engagement is considered agreed.
5. Work begins after confirmation, or after receipt of any deposit if applicable.

4. Fees and Payment

Fees are as stated on our website and in your written engagement summary. All fees are quoted in Malaysian Ringgit (RM) and are inclusive of applicable taxes unless stated otherwise.

• Project Setup Session: Full payment due before the working session takes place.
• Delivery Support Engagement: 50% deposit due upon confirmation; remainder due at the midpoint of the engagement.
• Project Practice Programme: 50% deposit due upon confirmation; remainder due before the final workshop or delivery.

Payment is accepted by bank transfer to account details provided on the invoice. Invoices are due within 14 days of issue. We reserve the right to pause or discontinue work on outstanding invoices.

5. Cancellation and Rescheduling

We understand that business circumstances change. Our approach to cancellation is as follows:

• Cancellation with 5 or more business days' notice: Any deposit paid is refunded in full, less any work already completed and documented.
• Cancellation with fewer than 5 business days' notice: The deposit is non-refundable, as preparatory work will have been carried out.
• Rescheduling: Sessions can generally be rescheduled with 2 or more business days' notice at no charge. We will do our best to accommodate changes on shorter notice where possible.

6. Client Responsibilities

To allow us to deliver effectively, we ask that you:

• Provide timely access to the relevant team members and project context
• Review and respond to shared materials within reasonable timeframes agreed at the start of the engagement
• Ensure that any information shared with us is accurate to the best of your knowledge
• Inform us promptly if your situation, priorities, or project scope changes materially

Delays resulting from late responses or unavailability on the client side may affect timelines and are not the responsibility of Mistral Quill.

7. Deliverables and Intellectual Property

Any documents, templates, trackers, or written materials produced specifically for your engagement ("client deliverables") become your property upon full payment.

Our underlying frameworks, methodologies, and general-purpose templates remain the intellectual property of Mistral Quill. You may use them within your organisation but may not resell, redistribute, or present them as your own to third parties.

We may use anonymised, non-identifiable descriptions of engagements for illustrative purposes (e.g. on our website). We will not identify your organisation by name without your written consent.

8. Confidentiality

We treat all information shared with us during an engagement as confidential. We will not disclose your project details, internal processes, or business information to third parties, except where required by law or with your explicit consent.

We ask that you treat any methods, tools, or pricing information shared by us as confidential as well.

9. Limitation of Liability

Our services are advisory and educational in nature. We provide information, frameworks, and structured support — final decisions on project execution remain with you and your team.

We are not liable for outcomes resulting from decisions made by your organisation during or after an engagement. Our total liability in connection with any engagement is limited to the fees paid for that engagement.

We are not liable for indirect losses, lost profits, or losses arising from circumstances outside our reasonable control.

10. Website Use

The content on our website at mistraly.pro is provided for general information. While we aim to keep it accurate and current, we make no representations about its completeness or suitability for any particular purpose.

You must not use our website to transmit any harmful, unlawful, or disruptive content. We reserve the right to restrict access to the site in cases of misuse.

11. Changes to These Terms

We may update these terms from time to time. When we do, the "Last Updated" date at the top of this page will be revised. The terms in effect at the time an engagement is confirmed apply to that engagement. Continued use of our website after an update constitutes acceptance of the revised terms.
